Welcome to Medabase, a Clinical Memory Platform designed to help healthcare providers manage patient records and enable patients to access their medical information. These Terms of Use ("Terms") govern your access to and use of the Medabase platform, website, and services (collectively, the "Services").
By accessing or using Medabase, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not use our Services.
Important: If you are a healthcare provider using Medabase, you represent that you are licensed to practice medicine and will comply with all applicable medical laws and regulations.
2. Eligibility
To use Medabase, you must:
- Be at least 18 years of age (or have parental/guardian consent if under 18)
- Have the legal capacity to enter into binding contracts
- Provide accurate and complete registration information
- Maintain the security of your account credentials
- Comply with all applicable laws and regulations
For Healthcare Providers (Doctors): You must hold a valid medical license in your jurisdiction and maintain professional liability insurance as required by law.
3. Account Registration and Security
3.1 Account Creation
- You must register for an account to use our Services
- You agree to provide accurate, current, and complete information
- You must update your information promptly if it changes
- You may not create an account on behalf of another person without authorization
- You may not have multiple accounts for the same role
3.2 Account Security
- You are responsible for maintaining the confidentiality of your password
- You are responsible for all activities that occur under your account
- You must notify us immediately of any unauthorized access or security breach
- We reserve the right to suspend or terminate accounts that violate these Terms
3.3 Doctor Verification
Healthcare providers must submit valid credentials for verification, including medical license numbers and professional qualifications. We reserve the right to verify all credentials and may suspend accounts pending verification.
4. Permitted Use
4.1 For Healthcare Providers (Doctors)
You may use Medabase to:
- Store and manage patient medical records
- Create and issue prescriptions
- Track patient vitals and medical history
- Schedule and manage appointments
- Generate clinical summaries and reports
- Communicate with patients regarding their care
4.2 For Patients
You may use Medabase to:
- Access your medical records and history
- View prescriptions and lab reports
- Track your vital signs and health metrics
- Book and manage appointments with doctors
- Upload medical documents and test results
- Grant or revoke access to your records
5. Prohibited Activities
You agree NOT to:
- Use the Services for any unlawful purpose or in violation of these Terms
- Impersonate another person or falsify credentials
- Upload false, misleading, or fraudulent medical information
- Access another user's account without authorization
- Attempt to bypass security measures or authentication systems
- Use automated tools (bots, scrapers) to access the Services
- Reverse engineer, decompile, or disassemble any part of the platform
- Interfere with or disrupt the Services or servers
- Upload viruses, malware, or malicious code
- Sell, transfer, or sublicense your access to the Services
- Use the Services to harass, abuse, or harm others
- Violate any applicable healthcare privacy laws (HIPAA, DPDP Act, etc.)
6. Medical Disclaimer
6.1 Not Medical Advice
Medabase is a record-keeping and information management platform. It does NOT provide medical advice, diagnosis, or treatment. The information stored in Medabase is for informational purposes only and should not be used as a substitute for professional medical advice.
6.2 Doctor-Patient Relationship
Use of Medabase does not create a doctor-patient relationship between you and Medabase. Any medical advice, treatment, or prescriptions provided through the platform are the sole responsibility of the licensed healthcare provider.
6.3 Emergency Situations
In case of medical emergencies, call emergency services immediately (e.g., 112 in India, 911 in US). Do NOT rely on Medabase for emergency medical assistance.
7. Healthcare Provider Responsibilities
If you are a healthcare provider, you agree to:
- Maintain valid medical licenses and comply with all professional standards
- Exercise independent clinical judgment in all patient care decisions
- Verify patient identity before accessing or creating medical records
- Ensure accuracy and completeness of all medical records you create
- Comply with applicable medical record retention laws
- Maintain appropriate professional liability insurance
- Follow all applicable healthcare privacy and security regulations
- Not use Medabase to prescribe controlled substances if prohibited by law
- Report any suspected data breaches or security incidents immediately
8. Content Ownership and Licenses
8.1 Your Content
You retain ownership of all medical records, prescriptions, documents, and other content you upload or create in Medabase ("Your Content"). By using our Services, you grant us a limited license to store, display, and process Your Content solely for the purpose of providing the Services to you.
8.2 Our Content
All other content, including the Medabase platform, design, features, software, text, graphics, logos, and trademarks, are owned by Medabase or our licensors and are protected by copyright, trademark, and other intellectual property laws.
8.3 Feedback
If you provide feedback, suggestions, or ideas about Medabase, we may use them without obligation or compensation to you. You grant us a perpetual, worldwide license to use such feedback for any purpose.
9. AI-Powered Features
9.1 Medical Record Summarization
Medabase uses artificial intelligence to generate summaries of patient medical records. These summaries are:
- Generated from anonymized data
- Intended to assist healthcare providers, not replace clinical judgment
- Not guaranteed to be error-free or complete
- Subject to review and verification by licensed healthcare providers
9.2 Limitations
AI-generated content should not be solely relied upon for medical decisions. Healthcare providers must independently verify all AI-generated summaries and exercise their own clinical judgment.
10. Payment and Fees
10.1 Subscription Plans
Medabase may offer various subscription plans with different features and pricing. By subscribing, you agree to pay all applicable fees as described at the time of purchase.
10.2 Billing
- Subscription fees are billed in advance on a recurring basis
- You authorize us to charge your payment method automatically
- Prices may change with 30 days' notice
- You are responsible for all taxes associated with your subscription
10.3 Refunds
Subscription fees are non-refundable except as required by law or as otherwise stated in these Terms. You may cancel your subscription at any time, but you will not receive a refund for the current billing period.
10.4 Free Trial
We may offer free trials for limited periods. If you do not cancel before the trial ends, you will be automatically charged for the subscription.
11. Data Portability and Export
You have the right to export your data from Medabase at any time. We provide tools to export medical records, prescriptions, and other data in standard formats (PDF, JSON, CSV). Upon account termination, you have 90 days to export your data before it is permanently deleted.
12. Service Availability and Modifications
12.1 Uptime
We strive to maintain high availability of our Services, but we do not guarantee uninterrupted access. The Services may be temporarily unavailable for maintenance, updates, or technical issues.
12.2 Modifications
We reserve the right to modify, suspend, or discontinue any part of the Services at any time with reasonable notice. We are not liable for any modifications or discontinuation of the Services.
13. Termination
13.1 By You
You may terminate your account at any time by contacting us at support@medabase.com or using the account deletion feature. Upon termination, you will lose access to your account and data after the 90-day export period.
13.2 By Us
We may suspend or terminate your account if you:
- Violate these Terms or our policies
- Provide false or misleading information
- Engage in fraudulent or illegal activities
- Fail to pay applicable fees
- Pose a security risk to other users
13.3 Effect of Termination
Upon termination, your right to use the Services ceases immediately. Provisions regarding intellectual property, disclaimers, limitation of liability, and dispute resolution survive termination.
14. Disclaimers and Limitations of Liability
14.1 "AS IS" Service
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
14.2 No Medical Warranty
WE DO NOT WARRANT THAT THE SERVICES WILL MEET YOUR MEDICAL NEEDS, BE ERROR-FREE, OR THAT AI-GENERATED CONTENT WILL BE ACCURATE OR RELIABLE.
14.3 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MEDABASE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICES.
IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM.
14.4 No Liability for Medical Outcomes
WE ARE NOT LIABLE FOR ANY MEDICAL DECISIONS, TREATMENTS, OR OUTCOMES BASED ON INFORMATION STORED IN OR GENERATED BY MEDABASE. HEALTHCARE PROVIDERS ARE SOLELY RESPONSIBLE FOR ALL CLINICAL DECISIONS.
15. Indemnification
You agree to indemnify, defend, and hold harmless Medabase, its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:
- Your use of the Services
- Your violation of these Terms
- Your violation of any applicable laws or regulations
- Your infringement of any third-party rights
- Medical malpractice or negligence in your provision of healthcare services
16. Dispute Resolution
16.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles.
16.2 Dispute Resolution Process
In the event of any dispute, you agree to first contact us at legal@medabase.com to attempt to resolve the matter informally.
16.3 Arbitration
If informal resolution fails, disputes shall be resolved through binding arbitration in accordance with the Arbitration and Conciliation Act, 1996. The arbitration shall be conducted in English in [Your City, India].
16.4 Jurisdiction
Subject to arbitration, the courts of [Your City, India] shall have exclusive jurisdiction over any disputes arising from these Terms.
17. General Provisions
17.1 Entire Agreement

You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms without restriction.
17.5 Force Majeure
We shall not be liable for any failure to perform due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, or government actions.
18. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes by:
- Posting the updated Terms on our website
- Sending email notifications to registered users
- Displaying an in-app notification upon login
Changes will be effective 30 days after posting (or immediately for legal/regulatory changes). Your continued use of the Services after changes are posted constitutes acceptance of the updated Terms.
